Press2web website services Terms & Conditions

1. 'Agreement' means these Terms & Conditions.
2. 'Services' mean website design, development, domain registration, hosting and other website services as may be offered from time to time.
3. 'Confirmation of order' shall mean the notification in writing to the Client by email or post detailing the work to be undertaken and services to be provided.
4. 'Project' means any work undertaken or service provided by Press2web for a Client and as described in the Press2web Confirmation of Order.
5. Fees shall mean any sums payable to Press2web for any Project and detailed in a Confirmation of Order.
6. 'Client' means a person, persons, business or organisation using any of the Services provided by Press2web.
7. 'Live Mode' shall be the date the website is available on the Clients chosen domain.
8. 'Domain' is the website address as specified by the Client.
9. 'Open Source Software' means software made freely available to anyone under the GNU General Public License (GPL).
10. 'Hosting' is a service to keep a Clients website activated online.
11. 'Content' is both text and images that the Client requires on its website.
12. 'Web Planning Tool' means the form provided by Press2web for completion by the Client providing detailed requirements and considerations.

Press2web Agreement:

1. Any Agreement between Press2web and the Client shall be on these Terms & Conditions to the exclusion of all other Terms & Conditions to the maximum extent as permitted by law. Any variations to these Terms & Conditions shall have no effect unless agreed by Press2web in writing.
2. The Client is responsible for providing Press2web with clear design likes and dislikes and for completing the Press2web Web Planning Tool. The Client shall be presented with two home page design options to choose from. If the Client does not approve either design, further designs can be developed at additional cost.
3. The agreed Services to be carried out shall be as set out in the Press2web Confirmation of Order.
4. Press2web will only commence work on a Project upon receipt of 50% of the quoted Project fee. The Client's website will be switched to Live Mode when the Project fee is paid in full.
5. Fees paid to Press2web are non-refundable. Where in exceptional circumstances Press2web agrees in writing to return fees to a Client such fees shall be subject to the deduction of an amount to cover any costs incurred by Press2web and to a minimum deduction of £100.
6. Press2web shall expect the Client to carry out sufficient research before proceeding with a Project. This research shall include checking that the website / idea / business can operate legally within UK law.
7. The Client shall keep in contact with Press2web throughout the Project and shall not cause undue delay when required to review and approve designs or amendments. In the event that no email or telephone contact is received from the Client for a period exceeding 3 months, the Project shall be terminated and all fees paid shall be forfeited.
8. Where Press2web has purchased images on behalf of the Client, these images are strictly for use on the Project website only. Press2web shall not be liable for misuse of these images by the Client or any other persons copying, altering or distributing the images to individuals or other organisations.
9. Press2web shall host the website if the Client requires upon receipt of full payment of annual hosting fees. Press2web endeavours to provide a reliable and professional service to the Client but does not guarantee that the website hosting service shall be available at all times, especially in the event of a technical failure beyond our control.
10. Press2web shall not be held responsible for any event adversely affecting the Client's business operation, sales, or profitability that they might claim is a result of a service offered by Press2web.
11. Where search engine optimisation services are provided, Press2web cannot guarantee any specific placement or high ranking position on search engines.
12. Press2web will provide the Client with an expected Project completion date (live on the internet) if requested. Press2web will endeavour to meet any given deadline but do not guarantee and are not bound in any way to complete the Project by this date.
13. It is the Client's responsibility to check with Press2web if open source software is being used or not.
14. Press2web shall not charge Clients for open source software. Any charge made for a website using open source software shall apply only for the installation time. Open source software is not owned by Press2web or the Client.
15. Press2web shall own all design and code of the website until final payment has been received in full. Once final payment is received, the Client shall then own the design and code of the website unless open source software is used. Images will have been purchased by Press2web for the client unless the images have been supplied by the Client. This clause 15 is subject to clause 14.
16. All images displayed on the Client's website will only be used after authorisation by the Client and are the sole responsibility of the Client regarding usage and copyright.
17. Domain names shall be registered by Press2web at the Press2web then current address. Although the domain names are registered to Press2web, the Client is the legal owner of the domain. If the Client requests to have details changed or the domain transferred elsewhere Press2web shall do this within a reasonable time.
18. If a domain name is purchased by the Client through a company other than Press2web, the Client has full responsibility in making sure that the domain name is renewed when due. Press2web will not renew the domain name when annual hosting renewal is due if the domain name is purchased through a company other than Press2web. If a domain name expires Press2web cannot be held liable for this. However Press2web will make reasonable efforts to contact the Client regarding domain renewal when Press2web are hosting the Client's website.
19. When a Client renews hosting with Press2web this includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the hosting package. If the Client does not renew the hosting, their domain name could be made available to the public for purchase and Press2web can not be held liable for this.
20. Renewal of hosting is due on an annual basis. The date of renewal shall be annually from the date the website was ordered by the Client. Hosting shall not be renewed if Press2web cannot contact the Client or if the Client requests that Press2web does not host this site. This will also affect the domain as per Clause 19.
21. The hosting renewal fee must be received within 10 days of the hosting expiry date. Press2web reserve the right to deactivate any website where the hosting service has expired and the Client has not paid the renewal fee. There shall be an administration fee set by Press2web for reactivating an expired hosting service.
22. Should a Client wish to transfer hosting or a domain name away from Press2web a £50 administration fee shall be charged which must be paid before any transfer shall take place. If the Client does not use Press2web hosting services then the management and hosting of the domain name are the full responsibility of the Client.
23. Press2web has no control of, or responsibility for, the content of the Client's website. In no way does the textual or image based content of the Client's website constitute Press2web endorsement, or approval of the web site or the material contained within the website. Press2web has not verified any of the materials, images or information contained within the Client's website and is not responsible for the content or performance of sites or for the Client's transactions with them. Press2web provides links or references to the Client's website solely for the convenience of prospective clients and intends that the links it provides be current and accurate, but we do not guarantee or warrant that such links will point to the intended Client site at all times.
24. Press2web shall not be liable for loss, damage or corruption to files or information stored on its servers or individual PC's relating to a Client's website. The Client is solely responsible for any information or files relating to its website.
25. The Terms & Conditions of this Agreement shall be governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of this Agreement shall lie exclusively with the courts of England. If any provision of these Terms & Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms & Conditions which shall remain in full force and effect.
